Content Provision & License Agreement

1. Scope of Engagement & Digital Conduct

This Agreement governs your relationship with I Know Tahoe LLC (the "Company") regarding the provision of media, the use of Company-provided digital tools, and the subsequent licensing of all such assets. By accessing our ecosystem, you agree to adhere to all operational protocols and community standards. The Company reserves the unilateral right to terminate your access to any digital environment or toolset should a breach of protocol, technical non-compliance, or systemic disruption occur.

2. Digital Protocols & Sensor Authorization

To maintain the integrity of the technological workflow and data processing, you agree to the following:

2.1 Session Integrity & Technical Compliance: All digital interactions are subject to real-time integrity monitoring. In the event of a session invalidation resulting from unauthorized background processes, hardware interruptions, or technical non-compliance with specified parameters, your access and media capture capabilities will be immediately suspended. Restoration of active status may require manual re-authorization by a designated Company representative.

2.2 Sensor & Data Authorization: By engaging with the Company’s applications or digital environments, you grant express authorization for the application to utilize your device’s hardware sensors including but not limited to cameras, microphones, and biometric identifiers to capture media and technical telemetry. You acknowledge that all captured data will be transmitted to and stored within I Know Tahoe LLC’s secure cloud infrastructure for processing, optimization, and storage.

3. Intellectual Property & License Grant

You retain ownership of the underlying content you create or provide; however, your engagement with the Company is contingent upon the following license grant:

3.1 Comprehensive License Grant: You hereby grant I Know Tahoe LLC a non-exclusive, irrevocable, perpetual, worldwide, royalty-free, and fully sublicensable license to use, host, store, reproduce, modify, create derivative works of, distribute, communicate, publish, publicly perform, publicly display, and otherwise utilize your content and the resulting media.

3.2 Scope of Utility: This license applies to all media captured or provided (the "Content"), including raw sensor data, processed assets, and any third-party transformations. This grant includes the right to edit, alter, or combine your Content with other media for any commercial, promotional, editorial, or algorithmic training purpose across all platforms and media types currently existing or hereafter developed.

3.3 Personality & Publicity Rights: In conjunction with the license above, you grant I Know Tahoe LLC an absolute right to use your name, likeness, image, voice, persona, and any other identifiable characteristics captured within the Content. You expressly waive any right to inspect or approve the final composition of any media and release I Know Tahoe LLC from any claims regarding privacy, publicity rights, or defamation arising from the capture or publication of your likeness.

4. Performance & Earnings Disclaimer

4.1 No Guarantee of Opportunity: I Know Tahoe LLC makes no representations, warranties, or guarantees regarding the acquisition of commissions, paid opportunities, brand deals, or any form of monetary compensation resulting from your participation or content provision.

4.2 Variable Outcomes: You acknowledge that all outcomes are highly variable and contingent upon individual performance metrics, engagement levels, and algorithmic desirability across third-party social media platforms. The Company does not control these external algorithms and is not responsible for fluctuations in visibility, reach, or commercial viability.

5. Limitation of Liability & Indemnity

5.1 "As Is" Provision: All services, digital tools, and platforms are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, I Know Tahoe LLC disclaims all warranties, express or implied, including any warranties of merchantability or fitness for a particular purpose.

5.2 Limitation of Liability: In no event shall I Know Tahoe LLC be liable for any loss or damage, including but not limited to personal injury, property damage, data corruption, or loss of digital assets resulting from your use of the platform or provided tools. Our total aggregate liability shall not exceed $100 USD.

5.3 Indemnity: You agree to defend, indemnify, and hold harmless I Know Tahoe LLC and its affiliates from any and all claims, damages, and expenses, including legal fees, arising out of your breach of these terms, your violation of any third-party rights including intellectual property or privacy rights, or any unauthorized use of the digital tools provided.
